Terms of Service

Last updated: 11 October 2026

These Terms of Service govern website design, website development, and related digital services provided by NextGrid Technologies (“NextGrid”, “we”, “us”, or “our”). By accepting a quotation or entering into a project agreement with NextGrid, you (“the client” or “you”) agree to the terms applicable to that engagement. Each project may also be governed by a written quotation, project specification, or separate agreement. If documents conflict, the order of precedence expressly stated in the signed or otherwise accepted project agreement will apply.

1. Services and Project Scope

The services provided will be described in the written quotation or project agreement.

Depending on the project, the agreed scope may include website design, development, responsive layouts, specified functionality, integrations, deployment, and other expressly listed deliverables.

The quotation should identify, as applicable:

  • Included pages and features
  • Design and development deliverables
  • Revision rounds
  • Estimated milestones and delivery dates
  • Fees and payment milestones
  • Client responsibilities
  • Third-party costs and exclusions

Any feature, page, integration, or service not expressly included in the agreed scope is excluded unless subsequently agreed in writing.

2. Quotations and Acceptance

Quotations are provided in writing and should specify the proposed services, price, payment schedule, and applicable validity period.

A project will commence after the quotation or project agreement has been accepted in writing and any required initial payment has been received, unless otherwise agreed in writing.

Email or WhatsApp may be used for routine project communications and approvals, subject to applicable law and the terms of the project agreement.

3. Fees and Payment

The total project fee, applicable taxes, payment milestones, accepted payment methods, and due dates will be stated in the quotation or project agreement.

Unless otherwise agreed in writing, NextGrid is not required to commence work before the agreed initial payment has been received.

Where a payment is overdue, we may give written notice and reasonably suspend affected work until the outstanding amount is resolved. Any resulting changes to the delivery schedule will be communicated to the client.

Late fees, interest, or other charges will apply only where expressly agreed in writing and permitted by applicable law.

The client is responsible for any taxes or statutory charges applicable to the transaction, as stated in the quotation and required by law.

4. Revisions and Change Requests

The number of included revision rounds will be specified in the quotation.

A revision is an adjustment to an existing deliverable within the agreed scope. A request that materially changes the approved concept, page structure, functionality, or project requirements may be treated as a change request.

Before carrying out a change request, NextGrid will communicate any additional fees and schedule implications for the client's written approval. Work on a proposed change will not begin until the revised scope and applicable charges have been agreed.

5. Client Responsibilities

The client agrees to provide, within the agreed timeframe:

  • Accurate business information and website content
  • Logos, brand guidelines, images, and other required assets
  • Necessary approvals and consolidated feedback
  • Access permissions reasonably required for the agreed work
  • Timely decisions and responses
  • Confirmation that supplied materials may lawfully be used for the project

The client is responsible for ensuring that supplied content and assets do not infringe third-party rights.

Delays caused by missing content, access, feedback, approvals, or other client dependencies may affect the delivery schedule. NextGrid will communicate material delays and any necessary revised milestones.

6. Delivery, Review, and Acceptance

Deliverables will be presented for review according to the agreed project milestones.

The client should review each milestone and provide specific feedback or approval within the period stated in the quotation or project agreement.

Any acceptance procedure, including the process for reporting defects or requesting corrections, should be documented in the project agreement.

A request for additional features or work outside the agreed scope is not automatically a defect and may be treated as a change request.

Final handover, production deployment, and transfer of agreed deliverables will be subject to the payment and handover conditions specified in the project agreement.

7. Ownership and Intellectual Property

Upon receipt of full payment, ownership of the original deliverables created specifically for the client will transfer to the client to the extent agreed in the project agreement and permitted by applicable law.

The transfer does not automatically include:

  • Third-party software, frameworks, fonts, plugins, or other licensed assets
  • Open-source components, which remain subject to their applicable licences
  • Pre-existing tools, templates, libraries, processes, or reusable materials owned by NextGrid
  • Third-party accounts, subscriptions, domain registrations, or hosting services

Where any NextGrid-owned or third-party material is incorporated into a deliverable, the client receives only the rights expressly agreed or available under the applicable licence.

The project agreement should identify any exclusions or licences necessary for the client's intended use.

8. Portfolio and Publicity

NextGrid may request permission to display completed work in its portfolio, case studies, or promotional materials.

The client's project, brand, or confidential information will not be presented as a public case study where the client has expressly prohibited such disclosure in writing before project commencement.

Any disclosure remains subject to confidentiality obligations, applicable law, and third-party rights.

9. Third-Party Services, Domains, and Hosting

Domain registration, hosting, SSL certificates, paid plugins, stock assets, email services, and other recurring third-party services are excluded from the project fee unless expressly included in the quotation.

Where the client purchases these services directly, the client is responsible for maintaining the relevant accounts, subscriptions, renewals, and payment arrangements.

Where NextGrid assists with third-party services, their availability, pricing, terms, and continued operation may depend on the relevant provider. NextGrid does not control independent provider decisions or outages.

Any ongoing hosting, maintenance, or support commitment must be expressly agreed in writing.

10. Maintenance and Support

Unless included in the quotation or a separate maintenance agreement, the project fee does not include ongoing maintenance or support after the agreed delivery and handover.

Maintenance may include content updates, security patches, dependency updates, backups, troubleshooting, or other ongoing work, as specified in a separate agreement.

Requests received after handover may be quoted separately.

11. Cancellation, Suspension, and Termination

Either party may request termination of a project in accordance with the project agreement and applicable law.

The agreement should specify how completed work, work in progress, approved expenses, outstanding invoices, and any advance payments will be handled when a project is cancelled.

If the client fails to provide required information, approvals, or payment, NextGrid may give written notice and a reasonable opportunity to resolve the issue before suspending affected work, subject to the agreement and applicable law.

If NextGrid is unable to continue a project, we will communicate the situation and handle outstanding payments and deliverables in accordance with the project agreement and applicable law.

12. Refunds

Refund eligibility will depend on the agreed project terms, the circumstances of cancellation or non-performance, and applicable law.

Any advance payment, milestone payment, or other amount due on cancellation will be handled in accordance with the project agreement and applicable legal requirements.

Nothing in these Terms excludes a refund or other remedy where it is required by law.

13. Confidentiality and Data Security

Both parties should take reasonable steps to protect confidential information received in connection with a project and use it only for the agreed purpose.

Confidential information should not be disclosed to third parties except where disclosure is authorised, necessary for the agreed services, required by law, or otherwise permitted under the project agreement.

Access credentials should be shared through appropriate secure mechanisms. Clients should not send passwords or sensitive credentials through ordinary WhatsApp messages.

Any personal information processed during a project will be handled in accordance with the applicable privacy notice, contractual obligations, and relevant law.

14. Warranties and Limitations

NextGrid will provide the agreed services with reasonable care and skill, subject to the project agreement and applicable law.

Unless expressly agreed, NextGrid does not guarantee particular search rankings, sales, leads, revenue, website traffic, or other commercial outcomes.

To the extent permitted by applicable law, neither party will be liable to the other for indirect or consequential losses arising from the project. Any agreed cap on liability, exclusions, and exceptions should be expressly stated in the project agreement and must comply with applicable law.

Nothing in these Terms excludes or restricts liability that cannot lawfully be excluded or restricted.

15. Events Outside Reasonable Control

Neither party will be treated as being in breach solely because performance is delayed by an event beyond its reasonable control, provided the affected party promptly communicates the issue and takes reasonable steps to reduce its impact.

If the event materially prevents performance for an extended period, the parties should agree on revised milestones or termination arrangements in accordance with the project agreement and applicable law.

16. Disputes and Governing Law

The parties should first attempt to resolve project disputes through good-faith communication.

If the dispute cannot be resolved, the parties may pursue the remedies available under applicable law.

Nothing in this clause limits any mandatory rights or remedies available under applicable law.

17. Changes to These Terms

We may update these Terms to reflect changes in our services, business practices, or legal obligations. The updated version will state its effective date. Updates will apply to new engagements from that date unless otherwise stated.

Changes to an existing project agreement must be handled in accordance with that agreement and applicable law. Publication of an updated version does not, by itself, amend an existing agreement.
